Cheryl Upham will present on a panel discussing SALT Issues, Traps, and Trends in Mergers and Acquisitions, hosted by the Philadelphia Bar Association. State and local taxes make for complicated issues and raise the potential for very costly traps for unwary practitioners when it comes to planning for and closing deals in the world of mergers and acquisitions. Panelists will discuss the following, among other issues:
· Issues and trends to be considered with respect to the income, sales/use, payroll and property tax liabilities of the target
· Potential transaction costs, including sales tax and realty transfer tax
